Terms of Service

This is a starting-point template. Review it with qualified counsel before relying on it for production use, and update it to reflect your actual product, pricing, and jurisdiction.

These Terms of Service ("Terms") form a binding agreement between you and Quill, Inc. ("Quill," "we," "us," or "our") governing your access to and use of quilldocs.ai and our related services (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a risk to the Service or other users.

3. The Service

Quill reads code repositories you connect and generates documentation, walkthroughs, and related content. The Service is provided on an evolving basis: features may be added, changed, or removed, and we will use reasonable efforts to communicate material changes in advance.

4. Your Content

You retain all rights to the repositories, code, and other materials you submit to the Service ("Your Content"). You grant Quill a worldwide, royalty-free, non-exclusive license to host, copy, process, and display Your Content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights necessary to grant this license.

5. Generated Output

As between you and Quill, you own the documentation, articles, and other artifacts the Service generates from Your Content, subject to any third-party rights in the underlying materials. You are responsible for reviewing generated output before publishing it externally.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law or third-party right, including intellectual property and privacy rights.
  • Reverse-engineer, scrape, or attempt to derive the source code of the Service except to the extent permitted by applicable law.
  • Interfere with the Service's operation, attempt to gain unauthorized access, or transmit malware.
  • Use the Service to generate or distribute deceptive, harassing, or otherwise harmful content.

7. Fees and Payment

Paid plans are billed on the cadence shown at checkout. Fees are non-refundable except as required by law or as expressly stated in these Terms. We may change pricing on renewal with reasonable notice. Late or failed payments may result in suspension or termination.

8. Third-Party Services

The Service may interoperate with third-party tools (for example, code-hosting platforms or LLM providers). Your use of those third-party services is governed by their own terms, and we are not responsible for them.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if continued service would create legal or security risk. Sections that by their nature should survive termination will survive.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Generated output may contain errors; you are responsible for reviewing it before publishing or relying on it.

11. Limitation of Liability

To the maximum extent permitted by law, Quill's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the fees you paid to Quill in the twelve months preceding the claim or (b) one hundred U.S. dollars. Quill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.

12. Indemnification

You agree to indemnify and hold Quill harmless from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you and Quill consent to personal jurisdiction and venue there.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Material changes will be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance.
